Event Description
Mergers, acquisitions, divestment, spin-offs, consolidation, strategic investments (collectively referred to as “transactions”) are critical components of most corporate strategy as well as restructuring exercises.

A critical parameter that often decides the success or failure of a transaction closure is the valuation of the assets, business or shares being acquired. While valuation is thought to be part science, part art and mostly negotiation, there is a logical, analytical and scientific way in which the buyer or the seller can estimate the value. Both parties to the transaction need to comprehend the key drivers of value as well as tools that can be deployed to evaluate the worth of the assets or business.

Such valuations also need to be assessed in the light of the transaction structures, which sometimes have a critical ramification on the price being paid. There are several concepts as well as mis-conceptions about valuation, which needs to be understood clearly, in order to have a win-win deal for both sides.
